The content, text, graphics, designs, images, branding, code and other materials appearing on this website are owned by or licensed to Avenue 12 Design unless otherwise indicated.
Content may not be copied, reproduced, modified, republished or distributed for commercial purposes without prior written permission.
Archive and examples
Avenue 12 Design has been working since 1995, and material from past and current projects may appear on this website as part of our archive.
An archived project does not necessarily represent a current client relationship, current technology, current branding or a currently available service. Ownership and permitted use of individual client materials remain subject to the agreements and rights applicable to each project.
Services
Information about services on this website is provided for general information. It does not constitute an offer or guarantee that a particular service will be provided.
Project scope, pricing, schedules, deliverables, ownership, licensing, maintenance and other requirements are established separately with each client.
Project agreements
A website inquiry, email conversation or information contained on this website does not by itself create a client agreement or establish a project scope.
Projects undertaken by Avenue 12 Design are subject to the specific terms, scope, pricing and other conditions agreed upon with the client. The following project terms may be incorporated into a proposal, estimate, contract or other written agreement.
Project Terms & Conditions
1. Rights Reserved
Unless expressly stated otherwise in a written agreement, all rights not specifically granted to the client remain with Avenue 12 Design and/or the applicable creator or rights holder.
This includes, where applicable, preliminary concepts, sketches, drafts, layouts, working files, source materials, unused concepts and other materials created during the development of a project.
Any use of work beyond the rights specifically granted in the project agreement may require additional permission and payment.
2. Revisions & Changes
The number and nature of revisions included in a project will be determined by the applicable proposal or agreement.
Additional fees may apply when requested changes exceed the agreed scope, are made after approval of completed work, require previously approved work to be substantially reworked, or represent a new creative direction or change in the original assignment.
Changes to an approved concept or completed deliverable may also affect the project schedule.
3. Cancellation & Postponement
If a project is cancelled, suspended or postponed, fees may be due based on the amount of work completed, commitments made and expenses incurred up to that point.
Unless otherwise specified in the project agreement, work that has been completed remains billable even if the client subsequently cancels or postpones the project.
Upon cancellation, rights to unpaid work remain with Avenue 12 Design and/or the applicable creator or rights holder. The client may not use, publish or distribute unpaid work unless otherwise agreed in writing.
4. Credits & Copies
Avenue 12 Design may identify itself as the designer, developer or creator of work produced for a client unless otherwise agreed in writing.
Where appropriate, Avenue 12 may request a reasonable credit or retain a discreet design or development credit. Specific credit requirements, if any, will be established in the applicable project agreement.
Unless the nature of the project makes this impractical, the client may be asked to provide Avenue 12 with a copy, photograph, screenshot or other representative example of the completed work for its records and portfolio.
5. Payment
Payment terms are established in the applicable proposal, estimate or project agreement.
Unless otherwise agreed in writing, completed work and final deliverables may be subject to payment in full before final release, transfer or publication.
The client's right to use work produced by Avenue 12 Design is conditional upon payment of all amounts due and compliance with the applicable project agreement.
Late payments may be subject to applicable service charges, collection costs or other charges specified in the project agreement or permitted by applicable law.
6. Original & Source Materials
Unless expressly transferred or licensed in writing, original artwork, source files, working files, development files, unused concepts and other production materials remain the property of Avenue 12 Design and/or their respective creators.
Payment for a finished project does not automatically transfer ownership of source files or unused materials unless that transfer is specifically included in the project agreement.
7. Additional Expenses
The client is responsible for reasonable third-party and project-related expenses that are approved or reasonably incurred on the client's behalf.
Depending on the project, these may include printing, stock photography, fonts, software or licensing fees, domain registration, hosting, shipping, courier services, specialized production, advertising, subcontractors and other third-party services.
Where practical, significant additional expenses will be discussed with the client before they are incurred.
8. Client Materials, Permissions & Releases
The client is responsible for ensuring that materials supplied to Avenue 12 Design for use in a project may legally be used for that purpose.
This includes, where applicable, photographs, artwork, logos, trademarks, text, music, fonts, software, databases, personal information and other copyrighted or protected materials.
The client is responsible for obtaining any required copyright permissions, licenses, releases or other authorizations for materials supplied at the client's request.
The client agrees to be responsible for claims, reasonable costs and expenses arising from materials supplied by the client where the required permission or authorization was not obtained.
9. Third-Party Services
Projects may involve third-party services, platforms, hosting providers, software, payment processors, APIs, advertising platforms or other technologies.
Avenue 12 Design is not responsible for changes, interruptions, failures, security incidents, discontinuation or other problems originating with third-party services.
Third-party products and services may also be subject to their own terms, licenses and fees.
10. Client Responsibilities
The client is responsible for providing accurate information, required materials, approvals, credentials, content and other cooperation reasonably necessary to complete a project.
Delays in receiving required information, approvals or materials may affect the project schedule and, where applicable, additional fees may result from extended project time or work outside the original scope.
11. Portfolio & Promotion
Unless otherwise agreed in writing, Avenue 12 Design may identify completed work as part of its portfolio, website archive, promotional materials or professional presentations.
Confidential, unpublished or otherwise restricted work will not knowingly be displayed contrary to an applicable written agreement.
12. Changes to These Terms
Avenue 12 Design may update these website terms from time to time. The current version will be posted on this page.
Project-specific terms may only be modified according to the requirements of the applicable project agreement.
13. Governing Law & Disputes
Project agreements will identify the applicable governing law, jurisdiction and dispute-resolution procedures where necessary.
Nothing on this website is intended to create a jurisdiction, arbitration requirement or contractual obligation that has not otherwise been agreed upon between Avenue 12 Design and a client in writing.
